The Subcontract is between a Canadian company, which wants to subcontract for the Canadian rights to an employee's services, and an international employment agency, which has contracted with the employee for his services worldwide as part of a deferred compensation structure, pursuant to the Income Tax Act (Canada) and the Regulations. Provisions of the agreement include: The agency maintains no office, agency or other establishment within Canada, and does not do business in Canada. The company agrees to perform some of the agency's contractual obligations in Canada under an Income Stabilization Agreement and will be paid the same fees as the agency would be paid. The terms of the subcontract coincide with the Income Stabilization Agreement and will terminate at the same time, should the Stabilization Agreement be terminated. The subcontractor earns a net profit calculated as a percentage of fees paid to it by a client to whom the employee is loaned out. Any deficiency will be reimbursed by the agency.
